Transaction facilitation
On some transactions a buyer and a supplier are better served by contracting directly with one another. ANF originates and verifies the counterparty, and supports the negotiation, without taking title.
In this capacity ANF originates and verifies the counterparty, brings the parties together, and supports negotiation of specification, pricing basis, delivery terms and payment instrument — but takes no title to the product and assumes no performance, quality, quantity, delivery or credit risk under the contract the parties conclude between themselves.
The parties contract directly with one another. ANF is not a party to their sale and purchase agreement and acquires no rights or obligations under it. ANF is not an agent or a broker for either side.
How it is documented
Facilitation is governed by a written commission-protection and non-circumvention agreement, executed before identities are disclosed. It fixes ANF’s remuneration, the scope of transactions to which it applies, the governing law and the forum for disputes.
ANF’s role and remuneration are disclosed to both parties. Which capacity applies — principal or facilitation — is agreed in writing before any counterparty is approached.
